Welcome to the careLOFT web site (the "Site"). careLOFT, Inc. ("careLOFT", "we", "us" and/or "our"). This Site is operated by careLOFT. It has been created to provide information about our company and to provide registered users with access to our online services for patient record management (such services, together with the Site are referred to as the "Services") to our Service visitors ("you", "your"). This Privacy Policy sets forth careLOFT's policy with respect to Personal Information and other data, such as aggregated de-identified information and statistical data that is gather from you when you use the Site and/or is created by use based upon your use of the Services. As used herein, "Personal Information" means personally identifiable information that is collected from users of our Services but expressly excludes "Protected Health Information" (as such term is defined in the Health Insurance Portability and Accountability Act ("HIPAA") that is subject to HIPAA.

Personal Information:

Personal Information That You Provide When You Register For and Use the Services:
We collect Personal Information from you when you voluntarily provide such information, such as when you register for access to the Services, use the Services, contact us with inquiries, respond to one of our surveys. When you register for access to the Services, you will be required to provide your contact information, including your name, email address, telephone number and other similar information. In order to have access to certain Services and/or to purchase certain items, you will be required to provide credit card detail or other acceptable payment information.

Personal Information That You Store in the Services:
Our Services include the provision of access to and use of our comprehensive patient management system. Registered users will have the ability to upload documents and input information regarding patients into this patient management system (such information, the "Patient Information"). Patient Information excludes Protected Health Information. Such Protected Health Information will be subject to careLOFT's Business Associate Agreement and not this Privacy Policy. As a registered user of the Services, you will be permitted to designate additional users who will be permitted to access a particular patient's records that you establish in careLOFT's patient management system. Our service allows registered users to send our secure links from the system to share documents and reports to authorized third parties. Such third parties will be required to enter the patient's date of birth and CAPTCHA in order to information via the shared link. As the registered user, you acknowledge and agree that you are solely responsible for determining who has access to the information you store in careLOFT's patient management system.

Other Data and Information:

Non-Identifiable Data:
When you interact with careLOFT through the Services, we receive and store certain personally non-identifiable information. Such information, which is collected passively using various technologies, cannot presently be used to specifically identify you. careLOFT may store such information itself or such information may be included in databases owned and maintained by careLOFT affiliates, agents or service providers. The Services may use such information and pool it with other information to track, for example, the total number of visitors to our Site, the number of visitors to each page of our Site, and the domain names of our visitors' Internet service providers. It is important to note that no Personal Information s available or used in this process.

In operating the Services, we may use a technology called "cookies." A cookie is a piece of information that the computer that hosts our Services gives to your browser when you access the Services. Our cookies help provide additional functionality to the Services and help us analyze Services usage more accurately. This aggregate information does not identify you personally. careLOFT may also disclose aggregated user statistics in order to describe our services to current and prospective business partners and to other third parties for other lawful purposes.

careLOFT uses the Personal Information that you provide in a manner that is consistent with this Privacy Policy. If you provide Personal Information for a certain reason, we may use such Personal Information in connection with the reason for which it was provided. For instance, if you provide Personal Information in order to obtain access to the Services, we will use your Personal Information to process your registration for the Services and monitor your use of the Services. careLOFT and its subsidiaries and affiliates (the "careLOFT Related Companies") may also use your Personal Information and other personally non-identifiable information collected through the Services to help us improve the content and functionality of the Services, to better understand our users and to improve our Services. careLOFT and its affiliates may use this information to contact you in the future to tell you about services we believe will be of interest to you. If we do so, each communication we send you will contain instructions permitting you to "opt-out" of receiving future communications. In addition, if at any time you wish not to receive any future communications or you wish to have your name deleted from our mailing lists, please contact us as indicated below. Our Disclosure of Your Personal Information and Other Information:
careLOFT is not in the business of selling your Personal Information. We consider your Personal Information to be a vital part of our relationship with you. There are, however, certain circumstances in which we may share your Personal Information with certain third parties without further notice to you, as set forth below:

Business Transfers:
As we develop our business, we might sell or buy businesses or assets. In the event of a corporate sale, merger, reorganization, dissolution or similar event, Personal Information may be part of the transferred assets.

Related Companies:
We may also share your Personal Information with our Related Companies for purposes consistent with this Privacy Policy.

Agents, Consultants and Related Third Parties:
careLOFT sometimes hires other companies to perform certain business-related functions. Examples of such functions include mailing information, maintaining databases and processing payments. When we employ another company to perform a function of this nature, we only provide them with that they need to perform their specific function and we obtain appropriate confidentiality commitments from them.

Legal Requirements:
careLOFT may disclose your Personal Information if required to do so by law or in the good faith belief that such action is necessary to (i) comply with a legal obligation, (ii) protect and defend the rights or property of careLOFT (iii) act in urgent circumstances to protect the personal health and safety of users of the Services or the public, or (iv) protect against legal liability.

careLOFT takes reasonable steps to protect the Personal Information provided via the Services from loss, misuse, and unauthorized access, disclosure, alteration, or destruction.
